(b) the number issued: 2,272,277;
(c) the nominal value (if any) and issue or acquisition price: $3.90 per
share;
(d) whether payment was in cash: Yes;
(e) any amount paid up (if not in full): N/A;
(f) the percentage of the total Class of Securities issued or acquired:
7.7865% of issued Ordinary Shares before this share issue;
(g) the reason for the issue or acquisition: Strategic Investment by our US
partners;
(h) the specific authority for the issue or acquisition (if any): Directors
Resolution;
(i) any terms or details of the issue or acquisition (such as an escrow
provision): Pursuant to the Subscription Agreement between Comvita and Derma
Sciences, should Comvita issue further shares to any third party investor by
way of a private placement within 6 months from the issue date at a price of
10% or more below $3.90 per share, the benefit of such lower issuance price
must be extended to Derma Sciences by issue of additional shares to Derma
Sciences at no further cost.;
(j) the total number of Securities of the Class in existence after the issue
or acquisition: 31,454,555;
(k) in the case of an acquisition of shares by an Issuer which is a company
