Initially, NWL take over valued PPS for $785 Million ($1.60/Share), now PPS is trading half of that value ( $436 Million - $65) i.e. $371 Million which is exactly half the price what NWL take over offers was.

NWL may throw cash offer now again (or HUB) and I can assure you 90% share holder will accept cash the offer on day one.

Lesson from LNK take over is 2nd offer always comes. LNK rejected first take over offer, now accepted 2nd offer.
