    How about this scenario?

    PPT pays PDL the $23m break fee.
    Regal walks because PPT continues to reject $33
    PPT's SP stays above where it was prior to the offer for PDL.
    PPT apologises, kiss and make up with PDL.
    PPT makes another cash and scrip offer for PDL with a new break fee.
    etc
