Big companies cannot slyly takeover. They must declare a takeover and then it will be on for every man and his dog. Besides it would make no sense in the interests of the BOD who have invested and a secret agreement between the BOD and another company to help facilitate the takeover being kept secret from other shareholders would be breaking the BOD's duty to all the other shareholders and would make them liable for damages.
As for those who complain about a lack of funds investment, well usually such funds only invest in companies over a certain market capital. A tiny market cap like this is usually regarded as much too small and volatile for them to invest in.
