PRIMA BIOMED FILES U.S. SHELF REGISTRATION STATEMENT

Prima BioMed Ltd ABN 90 009 237 889 (Company or Prima BioMed) advises that it has filed a shelf registration statement on Form F-3 with the U.S. Securities and Exchange Commission (SEC).

When effective, the registration statement would allow the Company to issue, over a period of three years from time to time, up to a total of US$60 million worth of ordinary fully paid shares in the Company (which will trade in the United States in the form of American depository shares (ADS)).

Shelf registrations are common practice in the United States as they allow a company to complete the usually extensive SEC review process prior to the issuing of any securities and then have up to three years within which to use the prospectus.

The registration statement relating to these potential future issues has been filed with the SEC, but has not yet become effective. These securities may not be sold nor may offers to buy be accepted prior to the time the registration statement becomes effective. This announcement shall not construe an offer to sell or a solicitation of an offer to buy nor shall
there be any sale of these securities in any jurisdiction in which such offer, solicitation or sale would be unlawful prior to registration or qualification under the securities laws of any such jurisdiction. Any offering of these securities shall be made only by means of a prospectus
contained in the registration statement filed with and declared effective by the SEC.

The terms and price of any future potential offering would be established at that time.

ADS currently trade on the NASDAQ Global Market under the code PRMD and each ADS represents 30 ordinary shares in the Company. "
