It's not that simple. The company could still see claims against it for sold products, lawsuits arising from the massive turnover in execs/engineers or otherwise, costs to unravel employees, other contractual financial obligations, plus there are outstanding options, debt, and a board and exec team taking over $1m each of the last 2 years.... there are usually cleaner shells out there.
