The sellers at 31 and 32 are probably either long term holders that think this is good enough and don't need to hold on for a few more cents that might not happen anyway (if the deal doesn't go through), or short term traders who bought this morning at open, have found the share price dropping and need to sell out because all their trading books tell them to cut their losses early.
