Even that looks like a generous assessment. The bulk of the consideration is shares in a company you already own. Unless there's something I've overlooked, the maths suggests simply distributing the shares & options in AYC in proportion to current ownership in ORS would result in a better outcome for ORS shareholders (even after taking into account debt).
