The board probably got the offer with the proviso that they endorse it publicly....otherwise no offer.
I have heard of this before and the BOD don't personally endorse it....jus they have to disclose that they do.
It is up to shareholders to vote down and let Pfizer renegotiate a price. If they really want the company then they will.
