This is pure speculation from me here. I have been reading the forum here and the expectation is that, the next quarterly is going to be great. And if so, the share price will march on. So why would the board accept such a low ball offer. And why do Pfizer offer such a low ball offer? I bet the next quarterly is not as good as the management has hinted to. So they quickly accept this offer and Pfizer probably has seen the book as well so know they will accept or witness a blood bath when the next quarterly is released.
Other than that, I really can't see any other reason for the board recommending this ridiculously low offer.
