having read through the 'scheme' document in detail, this does seem to be slanted very much in Pfizer's favour, which in the real world, to be expected.

whilst the plain fact is that 75% of shareholding needs to vote 'yes' - (and of course 50% of headcount) - on the face of it, this represents a very sizable majority (far more so than the joke of our electoral system) - however every instrument (and in the case the corporations act) is liable to be abused and manipulated. If, over the next month, it does become apparent that a 75% 'yes' will not be attainable, then i am sure that Pfizer, if they want Resapp badly enough will need to increase the offer, (or another party moves in with a bid) - it is a question of what would be the tipping point for 75%? I don't believe that the figures being quoted of $2 or $5 etc will float, almost certainly sub $1, saying this, who knows what left field player may wish to enter the feeding frenzy if it comes to that.

With respect to the so called expert - who will provide the scoping study/terms of reference? As this also worries me, prima facia, RESAPP is worth only it's equity, should any expert have terms of reference only as to actual tangible assets, ie, equity, contracts in place etc, and ignores the intangible assets - ie the value of the algorithms in the future, then this also concerns me. The algorithms, in the hands of Resapp are x$, but in the hands of Pfizer, with their market penetration, support entities, etc etc etc would be many multiples of x$.

So find an expert that can determine the value of RESAPP based on intangibles, then you have a very smart cookie indeed.......it is a paradox worth of Deep Thought, (the super computer in Hitchhikers Guide to the Galaxy) - the answer was 42, but no-one ever knew what the question was......

There is one further scenario, which is allowed for in the 'scheme' and this comes in as a seemingly throwaway in 3.7 Failure of Conditions Precedent (a) iii the Scheme or the Transaction may proceed by way of alternative means or methods;

This does give a potential option as follows, and one that i would feel comfortable with. As the new Australian 'Pfizer' entity would/may ? be created (this is also mentioned in the scheme) then many current shareholders who have supported RESAPP, and are also underwater, may accept the current offer in exchange for shares in the new entity, which would be diluted of course, maybe as much as 10:1, but with the market penetration etc of Pfizer, would be a test of those shareholders belief in RESAPP, and move forward with the new entity?

How do we find out what Fidelity's sentiment is...they will be dusting 65% to 70% or around $23 Million at this 11.5 cents price?
Also a mate says he watched the ABC (?) interview with Tony last night and Tony was smiling and saying how pleased the RAP shareholders were with the "offer" from Pfizer. That is rap he must know the overwhelming sentiment is against it and has blatantly said the opposite. This statement from Tony (unsubstantiated) is aiming to mislead many other shareholders in RAP who were watching. So they start to think..."oh well if all the shareholders think this is a great offer then it must be".
That statement in itself from TK is simply not on...misleading and false. IMHO. Who ever thought he was a master of the soft shoe shuffle? Goes to show what we have been putting our trust and hard earned in up until now. It may be that he has been biding his time for a moment like this.
I didn't watch the interview...I am just going off what I was told by another shareholder...if true then absolutely not on as it looks like an attempt to influence the voting process and that is simply not on.
All only my opinion and waiting for the dust to clear so we get some deliberate action and get our votes NO in order. DYOR and make up your own minds but it is NO from me all the way.
