Because the cash consideration is nil or "no". 10% of 0 is.... 0. Can't pay taxes on nothing, therefore its considered evading taxes both in GST and in corporate taxes - if it was being given to a company in lieu of a cash payment for their services. There's a reason why that is required to be filled in on the form, and its for ASICs benefit, not ours.
CGT is a separate tax from both goods and service tax and the corporate tax - which will also need to be paid if a capital gains event occurs and they get a positive return. Just like how we have to pay CGT on top of income tax (PAYG), GST, etc. Same-same.
We can speculate what service the company is going to provide.. but why bother. All that matters is that PL5 and PL6 is successful and hope that someone with deep pockets is willing to purchase the IP.
