CommentsSubject to shareholder approval, the proposed share issuance will form part of the consideration
for the Lindsay GoldProject (refer to ASX announcements dated 27 February 2025 and 1 April 2025).
The Project is still in the due diligencestage. The number of shares in this Appendix 3B is calculated based
on the 15 day VWAP immediately prior to the date ofissue of this Appendix 3B, however the actual number
of shares to be issued will be determined by reference to the 15day VWAP calculated over the period
immediately prior to the execution of the formal Tenement Sale Agreement (at sometime in the future) ,
and accordingly, the actual number of Shares to be issued may vary. 50% of the shares to be issued
are to be held in voluntary escrow for 6 months from the date of issue, with the remaining 50% to be held in
voluntaryescrow for 12 months from the date of issue.
