Company Secretaries perform company secretarial services for a company and are not employees of the company. They usually act for many companies and are not given performance rights because they are not involved with the operation of the company.
In this case, the company secretary is also the Chief financial Officer of CDX. As such he is an employee and that is why he was given performance rights
