Anyone who holds shares, with a material interest in the deal going ahead needs to be excluded. In other terms, if you get something extra from the deal, not only a return as an ordinary shareholder you should be excluded. That interest should be disclosed in the expert report, so shareholders have all information to make a decision.
You would expect GF could cast his vote on the face of it.
