    I've only had a skim admittedly, but isn't this being underwritten by parties related to NM?

    Assuming frustrated holders don't participate in great numbers, isn't this just a way of the underwriters being "forced" to pick up the slack and "mandatorily" acquire shares at half the last traded price?
