What you say is false, you need to re-read the Corps Act and ASX rules.
Placements are the lazy approach by management, and actually cost a lot more with the fees, options and discounted prices that are often "negotiated".
Pure stand alone placements should never be given as a discount in my opinion. If all of a sudden there are investors so keen to become shareholders and they can't acquire the position they want on market then clearly they should be willing to pay up.
