It is quite common for substantial shareholders to have a spot on the BOD. Nothing fishy with Clisdell simply being there, have a look at BLD which has multiple directors representing their majority SH Seven. Stokes is even their chairman.
Bergen clearly have a target 'type' of business they chase. I imagine many don't succeed but when they do they go to the moon.
