What difference does it make?
It has no bearing on whether either potential bidder makes an unconditional bid.
The directors are legally bound to act in the best interests of shareholders.
Once the exclusivity period ends for Rouse, & they either put forward a bid or not, the board can address the issue of a second bidder.
