Yeah you're right. Mercer held veto power over the financing if it would have left them with more than 5% of fully paid shares, which the full $15.9M would have done by itself. Last year Mercer chose to take half of the final tranche of convertibles in cash instead of shares so maybe they got their fill of AVR. Not receiving $15.9M of the $20M in Mercer funding that was announced 2 years ago does make that offer seem somewhat like a mirage in hindsight.
