My take on Resolution 4 is as follows. It appears TAS wants the option should it decide to cut ties with EDE by distributing all its held EDE shares (~34% share of EDE stock) to its shareholders. This would enable them to do away with the complexities of consolidating the financial statements with EDE. Probably a good thing for potential investors trying to get their heads around where each company is at. The term in specie is used to describe the transfer of an asset as it is in its current form rather than in its cash equivalent. The reference to cash payments to shareholders seems to be for those shareholders where it would not be possible to distribute the EDE shares directly and they give the example of shareholders who are residing overseas.
