If TC approached shareholders to tell them he could basically use his position to help get rid of MT and secure himself his spot, he would
be in direct breach of his statutory duty as a director.
‘Directors must not improperly use their position, or information they obtain because they are or have been a director, to gain an advantage for themselves or someone else, or cause detriment to the company.”
Advantage to himself- keep his gig
Detriment to the company- getting rid of he only person making deals.
This is even before we would look at how these approaches took place.
