I feel you VR, I really do but it’s super hard to prove intent. The deal just doesn’t pass the sniff test and absolutely stinks of friends taking care of friends. Voting by the shareholders is the final mechanism by which we have checks and balances. If the directors don’t act in the best interests of the shareholders (subjective). The Vote is what’s meant to stop it and kick them out
