The only way a director can be removed from a BoArd is for him to resign, or be voted off by sh.
A managing director could be sacked from that position by the Board, but he would still remain a director, probably a non exec director.
If PB was asked to leave the Board, but chose not to, there would need to be a s h Meeting called to vote him off.
it cannot be done at the coming AGM because the NOM has already gone out and does not include a Resolution to vote out PB.
usually if it is made clear to a dir that he should resign, or he will be voted out, he will resign and save the trouble and expense of calling a s h Meeting. But this is not always the case.
