I think you are right Sigma. That said a prepayment "subject to finance" may be cleaner . LG Chem may actually view the pre-payment as a hedge against rising commodity prices. Makes more sense given the enormous estimated demand increase for battery materials over the next 5-10 years. Even the PFS model has lower prices than current rates.
