This is one of the ASX's most stringent of listing rules to ensure protection of shareholders interests against large shareholders abusing their position for self gain and interests
The ASX listing rules call this the cornerstone rule of the the ASX.

It is relevant in instances where a shareholder has more than 10% of a company thats also has a person they nominated on the board, or the expectation that they have the right to nominate a person to the board, which is based on an agreement they have with the company.

The company constitution serves as such an agreement in consideration of the corporations act.

Any shareholder who meets this description, must seek a shareholder vote on the issue of any shares in a placement and must further, abstain from voting on the matter with their shares, and the shares of any related party.

This is a very interesting listing rule to consider.
