Your could argue that the act of putting cash on the line is a strong signal (at the time of purchase) that the board/exec believes a successful outcome will be achieved. Post acquisition though - the incentive is the same - they all have skin in the game, the motivating effect is the same.

yes the motivating factor may be the same, but not exercising the options or buying stock on-market, means the downside risk is zero
