Agreed. If the acquirer overpays their SHs will crash their stock in the ST and they are answerable to them. They have to show they have made “value investing” decision in their M&A activities.
Even when M&A goes awry and the acquirers write down the value of their acquisitions over time the initial narrative around the numbers need to show some sort of future potential for the price paid. Eg. Extension of the patent timeline for their cash cow drug.
