a lender has to be paid back at the end of the day. So traditional debt is a no go for zero revenue company with intangible assets. Convertible note may be a way forward for a lender with the potential appetite for equity in the future. Also allows Race to avoid upfront dilution or prematurely enter into a partnership for the sole purpose of finding a US trial.
