If you are selling your own shares because you can exercise warrants and get the stock cheaper i can't see how that counts as insider trading. If someone else caught wind of it and then dumped their shares because they knew there was going to be an announcement then it would.
I guess everyone knows the warrants are hanging around there and the possibility of dilution was imminent.
