My assumption is that it will depend on how the scheme is structured. For example if the Skip/Stonepeak shares are excluded from the scheme because it makes no sense that these as acquired for cash (rather the sensible tax outcome would for these to be retained and the scheme only applied to the 80.1% not held), then Skip/Stonepeak wouldn’t be able to vote.
