Quite clear retail SHs have meaningless voting rights. Not sure how you regulate incompetence without rewriting the whole rule book. Maybe there needs to be a rule for listed companies around rem for Non-exec directors in meeting certain metrics to be awarded above a min fee. Diff rules can apply based on revenue/mcap.
