(a) the relevant interests were disposed of during a closed period. Prior
written clearance was provided on 17 November 2015
(b) the date of the transaction was 17 November 2015
(c) following Peter Batcheler's resignation on 10 November 2015 all shares
held by EROAD LTI Trustee Limited on Peter Batcheler's behalf became
forfeited shares and EROAD LTI Trustee Limited exercised its call option to
require Peter Batcheler to transfer to it all of his beneficial interest in
the forfeited shares on 17 November 2015
(d) EROAD LTI Trustee Limited is the other party to the transaction
(e) the consideration, expressed in New Zealand dollars, was $221,680.75
(f) the number of ordinary shares to which the transaction related was 68,776
ordinary shares
