I doubt they'd be able to finance it on that basis, even at a stupidly low MC like say $300M. Also they've taken pride in looking after shareholders, including with unheard-of transparency, and I can't see them cynically endorsing a recommendation of 'unfair but reasonable'. However, a buyout and privatisation by management + other committed shareholders could make us virtually immune to a takeover on unfavourable terms.
