1. if the deal falls through, then the market would know who is negotiating and it could disrupt future deals or dismantle negotiations where multiple parties are involved

2. competition would then know who you're negotiating with as there are unlikely to be more than a handful that would fall into a single discriptor

3. even though the stock is not publically trade-able, it is still possible for private stock to be negotiated for sale under a binding contract during a trading halt/suspension and thus this is to protect retail investors also.

This is sensible policy, adopted by markets worldwide for these reasons."

This is not looking great. I'm almost hoping for a further suspension.....
