    re: Ann: Request from members to hold a gener... Daleg, the whole area of tax losses is very technical, and especially when it comes to carrying them forward for future use.

    There are many complex rules regarding continuity of shareholdings and shareholders that need to be maintained.

    The tax losses could indeed well be lost if you pay out the capital first.

    If you paid out all of the remaining cash then you risk wiping off these losses because when you introduce new shareholders further down the line you risk breaching the continuity provisions for retaining the losses.

    Again if people want to move on, just let themselves be cashed out and move on as the deal allows. I am not sure what voting the deal down would achieve. You will still get paid out exactly the same amount?

    Again I am absolutely certain (to a body organ) that the recent buying are friendlies and not blockers. There is nothing to be gained from blocking the deal.

    There can be no better deal that received back your NAV.
