    It appears as though the directors can give Ms Min (and maybe more) the heave ho due to NON Independence because of:

    Relationships: Ms Min being a Director of ASF and AIV

    Materiality: because Ms Min is a Director of a company, ASF, that holds greater than 10% (its actually 42% of AIV)

    I would imagine Ms Min and ASF may/should be excluded from 249D vote because of the above. It will be interesting legal discussions.
