If MRC completed a capital raising directly with Au Mining and did not offer this to all shareholders, they would have been in breach of the listing rules.

Considering they offered all shareholders the rights to take up the SPP, Au Mining has taken up its entitlement as per 10.12 exemption 1, They have also taken up part of the shortfall through 10.12 exemption 2.
