The ASIC can fine APG $1,062.50 for trading without a third director however this is not that uncommon as Directors do pass on, or resign unexpectedly leaving the board short. In those instances the ASIC will give a little time for the company to get its affairs in order and comply.
Like any breach they can eventually be referred to the ASX for query/suspension however this is unlikely.
