A siting director of a company (A) that represents another company (B), is privy to and is in a situation that may raise questions as to the proper dissemination of and access to information of both companies. That director has certain disclosure obligations.
In addition, who says it would be a friendly takeover. If it was a hostile or could be hostile, then a seat on the board could be a nightmare.
All will be revealed, despite this afternoons announcement, in due course.
The replacement of Richards with another nominee would certainly put the scenario discussed to rest. If that hasn't happened by next Friday, then all bets are off.
