Actually that was one fact mixed with opinion and a few assumptions thrown in. SH sitting on another board isn't a crime. It's not necessarily a conflict either. If he was on another Graphite co that would be different.
I do think it's worth watching. But probably best not to jump to conclusions about who's paying for what or what SH's motivation might be.
FWIW: This article talks about the role of non-exec directors. It also says that a variety of directors who sit on a number of boards is a good thing.

That's not to say I think you are wrong... just that I think what you say are facts, actually contain a fair bit of additional interpretation. IMO.
