Says that the company was aware that it was "material", but used the 3.1A exemption as the relevant transaction had not been completed. So, it's not some basic CR!!! It's "material".
"This refers to any significant alteration in an issuer's affairs that could impact the market value of its securities. This can include changes in the nature of the business or even a change in control of the issuer."
Should be an interesting opening on Monday with a new market!!
