There are exceptions to this rule and IMO - Brainchip’s circumstances fall into one of these exceptions!

The ASX Listing Rules mandate that listed companies must disclose material information to the market promptly (Continuous Disclosure Rule: Listing Rule 3.1).

However, there are certain exceptions where disclosure is not required. These are outlined in Listing Rule 3.1A and apply when all three conditions below are met:

1. The Information is Confidential - The information must be kept strictly confidential and not leaked or otherwise available to the public or specific groups.

2. A Reasonable Person Would Not Expect Disclosure - The information should not be something a reasonable person would consider necessary to make an informed decision about buying or selling securities.

3. The Information Falls Into One or More of These Categories: • It concerns incomplete negotiations or proposals (e.g., mergers, acquisitions, or capital raisings). • It relates to a matter subject to internal management deliberations. • It is insufficiently definite to warrant disclosure (e.g., an early-stage project or exploration result). • It involves a trade secret. • It pertains to information generated for internal purposes only. • It is prepared for the purpose of complying with legal or regulatory obligations (e.g., draft financials before audit completion).
