There is nothing out of the ordinary on the SP movement... so its okay? No it is not. Far from it.
The fact that material information was divulge (specifically non-public information about the security) makes it a breach of fiduciary duty, relationship of trust and confidence. SP movement during the period is immaterial to the issue.
The BOD representatives in question will need to be removed. If not already they should excuse themselves while the matter is in the courts.
