The most severe penalty is probably suspension of the company from the exchange. That unfortunately also punishes the shareholders and lots never come back from suspension.
Directors can be subject to all kinds of stuff, but not the fellas in the background pulling the strings.
Best case to recover something would be to have a shot at the directors for being derelict in their duties or having done something shifty, but it would be a long bow to draw unfortunately.
