Yes correct its non-binding.

Next years AGM is when the results matter should a 2nd strike occur. Having said that it would be rare to see a board spilt even if 2nd strike occurs and election of directors is put to resolution.

In this instance all KMP shareholders which includes directors get to cast their votes in the board spill and you can see from the election results this round pass by a long shot. I think the 2 strike rule was created to give some power to minority but can't see it effectively changing a board as there are other companies who are up to 3 strikes in row and no difference. It does however let them see the discontent from holders so that is at least effective.
