There are different forms of T/Os and the bidder does not need shareholder approval to be successful. This usually happens under hostile takeover scenarios where BOD or SH approval is not necessary. As soon as certain takeover provisions have been fulfilled and conditions move to compulsory acquisition its game over.
Hopefully youve learnt something and its a risk which needs to be monitored.
