    Please explain in a little more detail?

    I assume that in CMI's case Ray and the rest of the board can't vote on the remuneration so taking them out of the picture there will be well over 50% even 60% that might might against the remuneration. Do we have to wait two years? and how does a board spill trigger ie who has to go and when?
