My understanding is the two resident Australian directors is an ASX requirement not something stipulated under the company's constitution therefore it wouldn't result in an invalid AGM rather just a suspension from listing which is what has transpired. Regardless if Ben resigned prior to the AGM going into the meeting they still had two Australian resident directors in McGregor and Green.
