There were enough shareholders for a quorum. Some of them had already voted via proxy from what I gather so they were valid shareholders but had already given the proxy to the chairman. This means they make up a quorum of shareholders attending the meeting but couldn't vote on a show of hands. That's why it went to a poll.
Boardroom ran the meeting so they wouldn't allow it to proceed if it wasn't kosher.
All approved and all valid.
